The legal framework regarding seal changes is a common issue that many businesses need to be aware of and stay updated on. Since the amendments to the 2014 Enterprise Law, regulations concerning seals, as well as the procedures for changing them, have undergone significant changes.

According to the 2014 Enterprise Law, businesses have the right to decide on the form, quantity, and content of their seals without being bound by any regulations, only ensuring that the seal contains two main pieces of information: the company name and the business registration number. Regarding the procedures and processes for making changes, businesses must comply fully with regulations for the new seal to be legally recognized.
Under what circumstances does a business need to change its seal?

Procedures and steps for changing a company seal.
Step 1. Prepare the file
1. Notification regarding the use of the company/branch/representative office seal (in the case of new establishment);
2. Notification of changes to the seal design/number of seals of the enterprise/branch/representative office (in case of change);
The notification form for changing the seal design follows Appendix I-19 attached to document 4211/BKHĐT-ĐKKD. In this form, the section "Form of seal" requires both the old and new seal designs.
However, in some cases There is no need to have the old seal sample. When notifying the seal mẫu (Official Letter No. 9720/BKHĐT-ĐKKD), it includes:
- Businesses established before July 1, 2015, but which have lost their seals or have returned their seals to the police.
- For businesses established after July 1, 2015, that have lost their seal and now need to replace it with a new one.
3. Application form containing applicant information;
4. Table of contents (listed in the order above).
5. File cover (made of thin paper or stiff nylon without any writing on it, for other purposes).
6. Power of attorney to carry out business registration procedures.

Step 2. Submit the application to the Department of Planning and Investment of the province/city.

After verifying the information, the responsible officer will send a receipt to the business if the application is valid. The receipt will clearly state the date of receipt and the scheduled date for receiving the results.
Step 3. Obtain the new seal certificate from the Department of Planning and Investment.
