Question:

As a newly established company, the initial phase will primarily focus on marketing, promotion, and building market awareness. Therefore, revenue may not meet expectations in the first one to two years. When the aforementioned loan matures, the company plans to seek other short-term foreign loan sources to restructure the existing foreign loan.

According to Circular No. 12/2014/TT-NHNN, the condition for borrowing a new foreign loan to restructure an old foreign loan is that it must not increase borrowing costs.

However, Mr. Thinh was unclear about what constitutes not increasing borrowing costs. He asked how his company should interpret this regulation.

For example, if Mr. Thinh's company takes out its first loan at an interest rate of 2% per year, and then takes out a second loan at the maximum interest rate of 2% per year, would this be considered as not increasing borrowing costs?

The company consulted with several commercial banks and was advised that the interest rate on the second loan must be zero. According to Mr. Thinh, if interpreted in this way, it would be very difficult for the company to access foreign capital because international market practices do not allow for interest-free loans.

Response from Baochinhphu:

The State Bank of Vietnam responded to this issue as follows:

Clause 2, Article 5 of Circular No. 12/2014/TT-NHNN dated March 31, 2014, issued by the State Bank of Vietnam, stipulates the conditions for foreign borrowing by enterprises not guaranteed by the Government, allowing borrowers to borrow from abroad to "restructure their foreign debts without increasing borrowing costs."

Clause 5, Article 2 of Circular No. 12/2014/TT-NHNN stipulates: “Foreign borrowing costs are the total amount of costs converted as a percentage of the annual loan amount, including foreign loan interest and other costs related to the foreign loan that the borrower is certain to pay to the lender, loan guarantors, loan insurers, agents and other related parties.”

Regarding Mr. To Hoang Thinh's question, according to Decree No. 219/2013/ND-CP dated December 26, 2013, of the Government regulating the management of foreign loans and debt repayment by enterprises not guaranteed by the Government, enterprises are solely responsible for signing and implementing foreign loan agreements and other related agreements.

Negotiating foreign loans (interest rates, costs, loan terms, etc.) is at the discretion of the enterprise, based on compliance with the State Bank of Vietnam's regulations on the conditions for borrowing and repaying foreign debts by enterprises not guaranteed by the Government.

For the purpose of borrowing foreign loans to restructure the borrower's foreign debt, as mentioned above, the cost of the new foreign loan must not exceed the cost of the restructured foreign loan; the borrowing cost is stipulated in Clause 5, Article 2 of Circular No. 12/2014/TT-NHNN mentioned above (currently there is no regulation requiring the interest rate on the new foreign loan to be zero as Mr. Thinh mentioned).

In the case of short-term foreign loans, the borrower is responsible for preparing a cost comparison spreadsheet for the new loan and the restructured loan to ensure compliance with the State Bank of Vietnam's regulations on foreign borrowing and repayment conditions. This spreadsheet must be submitted to the credit institution providing account services if requested by the credit institution providing account services to demonstrate the legality of the short-term foreign loan and ensure that the transaction complies with current relevant laws.

Question:

According to Article 16 of Circular No. 12/2022/TT-NHNN dated September 30, 2022, the loan application dossier must include documents proving the purpose of the loan, specifically the Investment Registration Certificate for loans to implement investment projects.

However, this loan was not for the project Mr. Linh's company was undertaking, but rather to acquire the equity stake of another company.

Mr. Linh asked, is it necessary to have an Investment Registration Certificate to prove the capital increase? Or is a document proving the repurchase of contributed capital (share purchase approval document) sufficient?

Response from Baochinhphu:

The State Bank of Vietnam responded to this issue as follows:

Article 5 of Circular No. 12/2014/TT-NHNN dated March 31, 2014, issued by the State Bank of Vietnam on the conditions for foreign borrowing by enterprises, stipulates that borrowers are permitted to borrow from foreign sources for the following purposes:

“1. Implement production and business plans and investment projects using foreign loans for the following entities:

a) Of the Borrower;

b) Of enterprises in which the Borrower participates in direct investment (only applicable to medium- and long-term foreign loans). In this case, the borrowing limit for the Borrower, based on the total loan amount for the production and business plan or investment project, shall not exceed the Borrower's equity stake in the enterprise in which the Borrower participates.

The business plans and investment projects using foreign loans as stipulated in this Clause must be approved by the competent authority in accordance with relevant provisions of Vietnamese law and must be consistent with the scope of the Establishment License, Business Registration Certificate, Investment Certificate, Cooperative Registration Certificate, or Union of Cooperatives of the Borrower or of the enterprise in which the Borrower participates in direct investment.

2. Restructure the borrower's foreign debt without increasing borrowing costs.

Clause 2, Article 3 of Circular No. 12/2014/TT-NHNN stipulates the principles for applying foreign loan conditions: “The borrower is responsible for complying with the provisions of this Circular and other relevant laws when signing and implementing foreign loans.”

Clause 3, Article 16 of Circular No. 12/2022/TT-NHNN guiding foreign exchange management for foreign borrowing and debt repayment by enterprises stipulates that the application dossier for foreign loans includes a copy or original of the document proving the purpose of the loan, including:

“a) For loans to implement investment projects: Investment certificate, Investment registration certificate or Decision approving the investment policy in accordance with the law on investment and current relevant legal regulations;

b) For loans used for other production and business plans that are not investment projects: The plan for using foreign loan capital must be approved by the competent authority in accordance with the Law on Investment, the Law on Enterprises and the enterprise charter, the Law on Cooperatives and the cooperative charter, and other relevant legal documents; [...]”.

Based on the legal regulations on foreign borrowing and debt repayment by enterprises cited above, the company is requested to correctly identify the intended use of the foreign loan as: (i) for an investment project granted an Investment Certificate/Investment Registration Certificate/Investment Policy Decision or (ii) for other production and business plans not related to the investment project mentioned in point (i).

Based on clearly defining the purpose of using foreign loans, the company prepares the foreign loan registration dossier according to the guidelines in Articles 7 and 16 of Circular No. 12/2022/TT-NHNN to register the foreign loan in accordance with current regulations.

Businesses that submit applications for registration or amendments to foreign loans late will be subject to administrative penalties.

The review and confirmation of registration and registration of changes to foreign loans for businesses will be carried out after the completion of administrative violation processing in accordance with current laws on handling administrative violations in the monetary and banking sector.
